Terms of Service

Please read these Terms of Service carefully before using the Polanov Tech website or engaging any of our services. By accessing our site or entering into a service agreement, you agree to be bound by these terms.

Section 1

Acceptance of Terms

By accessing and using the website located at polanovtech.com (the "Site") or engaging any service offered by Polanov Tech S.A. ("Polanov Tech," "we," "us," or "our"), you confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

If you are using our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Section 2

Our Services

Polanov Tech provides the following categories of services:

  • Technology Staffing & Recruitment: Connecting US and global companies with pre-vetted engineers and technical professionals from Latin America on a direct-hire, contract, or temporary basis.
  • AI Automation & Integration: Design, build, and deployment of custom AI-powered workflow automation systems for businesses.
  • Conversational AI Bots: Development and deployment of AI chatbots across WhatsApp, Instagram, Facebook Messenger, and web platforms.
  • CRM & Sales Growth Systems: Setup, integration, and automation of CRM platforms and sales pipelines.
  • Voice AI Agents: Development of AI-powered voice agents for inbound and outbound call automation.

Each engagement is governed by a separate Statement of Work or Service Agreement in addition to these Terms.

Section 3

Eligibility

Our services are intended for businesses and professionals. By using our Site or services, you represent that:

  • You are at least 18 years of age.
  • You have the legal capacity to enter into a binding agreement.
  • You are not barred from using our services under applicable law.
  • If acting on behalf of a business, you have authority to bind that business.
Section 4

User Accounts & Client Portal

If you create an account or are provided access to a client portal, you are responsible for:

  • Maintaining the confidentiality of your login credentials.
  • All activities that occur under your account.
  • Promptly notifying us of any unauthorized use at hello@polanovtech.com.

We reserve the right to suspend or terminate accounts that violate these Terms or are involved in fraudulent activity.

Section 5

Acceptable Use

You agree not to use the Site or our services to:

  • Violate any applicable laws, regulations, or third-party rights.
  • Transmit spam, malware, or any harmful code.
  • Attempt to gain unauthorized access to our systems or data.
  • Use our AI tools to generate illegal, defamatory, or harmful content.
  • Reverse engineer, copy, or resell any component of our services without written permission.
  • Engage in any activity that disrupts or interferes with the proper functioning of our services.

We reserve the right to investigate and take appropriate legal action against violations, including suspension of service and referral to law enforcement.

Section 6

Intellectual Property

All content on the Site — including text, graphics, logos, code, and design — is the property of Polanov Tech or its content suppliers and is protected by copyright, trademark, and other intellectual property laws.

For custom deliverables built under a paid service agreement, ownership is transferred to the client upon full payment as specified in the applicable Statement of Work. Until payment is received in full, all work product remains the exclusive property of Polanov Tech.

You may not reproduce, distribute, or create derivative works from our Site content without express written permission.

Section 7

Payments & Refunds

Payment terms are defined in each individual service agreement. General terms include:

  • All fees are quoted in US Dollars (USD) unless otherwise specified.
  • Invoices are due within the timeframe specified in the service agreement (typically Net 15 or Net 30).
  • Late payments may be subject to a 1.5% monthly interest charge or the maximum permitted by law.
  • Retainer-based services are non-refundable once the service period has begun.
  • Staffing placements come with a 30-day replacement guarantee — not a cash refund — as specified in the placement agreement.

All disputes regarding invoices must be raised within 10 business days of receipt.

Section 8

Confidentiality

Both parties agree to keep confidential any non-public information received from the other party in connection with our services, including but not limited to business plans, technical specifications, candidate information, and pricing.

This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

We will never sell or share your business information with third parties for marketing purposes. See our Privacy Policy for details on data handling.

Section 9

Disclaimers

Our services are provided "as is" and "as available." While we work diligently to deliver high-quality results, Polanov Tech makes no warranties, express or implied, including:

  • That our services will meet your specific requirements or produce guaranteed business outcomes.
  • That AI-generated content or automation outputs will be error-free.
  • That candidate placements will result in permanent employment beyond the agreed guarantee period.
  • That the Site will be available without interruption or technical issues.

We do not warrant that any ROI projections, estimates, or case studies presented on our Site are guaranteed outcomes for your specific business.

Section 10

Limitation of Liability

To the maximum extent permitted by applicable law, Polanov Tech and its officers, employees, and agents shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages.
  • Loss of profits, revenue, data, or business opportunities.
  • Damages resulting from third-party actions, including actions of placed candidates or automated systems.

Our total cumulative liability in connection with any service shall not exceed the fees paid by you to Polanov Tech in the 3 months immediately preceding the event giving rise to the claim.

Section 11

Indemnification

You agree to indemnify, defend, and hold harmless Polanov Tech and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your use of our services in violation of these Terms.
  • Your violation of any law or the rights of a third party.
  • Any misuse of AI tools, automation systems, or candidate information we provide.
Section 12

Termination

Either party may terminate a service engagement by providing written notice as specified in the applicable service agreement. We reserve the right to immediately terminate services without notice if you:

  • Breach these Terms in a material way.
  • Fail to pay invoices after reasonable notice.
  • Use our services for illegal or harmful purposes.

Upon termination, all outstanding fees become immediately due and payable. Sections covering intellectual property, confidentiality, disclaimers, and liability survive termination.

Section 13

Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Guatemala, without regard to conflict of law principles.

Any dispute arising from or related to these Terms or our services shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration in Guatemala City, Guatemala.

For clients located in the United States, disputes may also be governed by the laws of the state specified in the individual service agreement.

Section 14

Changes to These Terms

We reserve the right to update these Terms at any time. When we do, we will update the "Last Updated" date at the top of this page. For material changes, we will provide notice via email or a prominent notice on our Site.

Your continued use of our services after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, please discontinue use of our services.
